By submitting a Wholesale Account Application, the applicant ("Company") acknowledges that it has read, understands, and agrees to these Wholesale Terms & Conditions.

All orders must be received by the time our office closes two days prior to the desired delivery date.
Delivery
Macrina offers delivery and will-call pickup seven days a week. Will-call is available at all Macrina café locations except Aloha.
There are three delivery options:
A. In-person delivery during the customer's business hours, when business hours align with our delivery routes. If business hours do not align with our route, dark-drop delivery may be required if delivery is preferred. Otherwise, will-call pickup is always available. In certain circumstances, such as inaccurate or outdated delivery information, access issues (including broken keys), or other unforeseen delivery obstacles, orders may be redirected to the closest Macrina café for will-call pickup.
B. Dark-drop delivery using customer-provided access, including a key, key box or lockbox code, door code, keycard, key FOB, or other approved method of entry.
C. Delivery to a secure location on-site.
Orders of $40+ are eligible for free delivery. Orders of $25–$40 can be delivered with a $15 delivery fee. Orders below $25 are not available for delivery and must be picked up via will-call at any Macrina café except Aloha.
Macrina does not take responsibility for product that is damaged or stolen after it is delivered.
Pastry Containers
Please note: Pastry containers are the property of Macrina and must be ready (empty and at the same spot they were dropped off) to be returned on the next delivery.
Our pastry containers are for shipping purposes only and should not be used to store products.
Pastry containers are available upon request and are subject to availability. Because there is a limited number of containers available, they may not accompany every order.
Terms & Conditions
1. Payment Terms
Company agrees to pay according to the payment terms selected during the application process. Available payment methods include:
ACH: Net 7 (weekly) or Net 14 (bi-weekly)
Credit Card: Net 7 (weekly) or Net 14 (bi-weekly). Credit card payments are subject to a 3% processing fee.
Check: Net 7 (weekly) or Net 14 (bi-weekly).
Applicants selecting ACH or Credit Card will be asked to provide payment information after account approval.
ACH Authorization
If Company elects to pay by ACH, Company authorizes Macrina Bakery to electronically debit the designated checking or savings account according to the selected payment terms. ACH payments will be automatically withdrawn on Thursdays in accordance with the selected payment schedule (weekly or bi-weekly). Transactions will appear on bank statements as "ACH Debit."
Company understands and agrees that:
This authorization will remain in effect until Company provides written notice of cancellation to Macrina Bakery at least 15 days before the next scheduled billing date.
Company agrees to notify Macrina Bakery in writing of any changes to its banking information at least 15 days before the next scheduled billing date.
If a scheduled payment date falls on a weekend or bank holiday, the transaction may be processed on the next business day.
If Macrina Bakery initiates an ACH debit in error, Company authorizes Macrina Bakery to credit Company's account for the amount of the erroneous withdrawal.
Because ACH payments are electronic transactions, funds may be withdrawn from Company's account as soon as the scheduled transaction date.
If an ACH transaction is returned due to Non-Sufficient Funds (NSF), Macrina Bakery may, at its discretion, reattempt the debit within 30 days. Company agrees to pay an additional $35 NSF fee for each returned transaction. Any NSF fee may be processed as a separate ACH transaction.
Company acknowledges that all ACH transactions must comply with applicable U.S. law.
Company agrees not to dispute authorized ACH transactions with its financial institution, provided the transactions are processed in accordance with this authorization.
Macrina reserves the right to charge a 1% finance charge on all outstanding invoices more than 30 days past due. If any invoice becomes 45 days past due, the account will be converted to C.O.D. (cash or check upon delivery) until the account is paid in full. Company agrees to pay a $35 fee for any returned check.
2. Collections
Company acknowledges that if the account is overdue, Macrina reserves the right to refer the account to a collection agency. Company will be responsible for all costs and attorneys' fees incurred by Macrina in the event of any suit arising from or relating to this agreement, or as a result of Macrina employing a collection agent to collect the overdue account, including collection agency fees not to exceed 35% of the principal balance assigned for collection.
3. Changes to Business Information
Company must notify Macrina within seven (7) days of any change in corporate structure or ownership of its business. Notification may be provided by email to Wholesale, Sales, or Accounts Receivable, or by another written method accepted by Macrina.
4. Governing Law & Arbitration
Company and Macrina agree that this Agreement shall be interpreted pursuant to the laws of the State of Washington. Any dispute between the parties shall exclusively be resolved by arbitration before a single arbitrator through Judicial Dispute Resolution, LLC ("JDR") in accordance with its arbitration rules, and the hearing shall take place in Seattle, Washington. In the event of any such arbitration, the prevailing party shall be entitled to its attorneys' fees and costs.
5. Limitation of Liability
In the event of any dispute relating to goods sold by Macrina to Company, Company's exclusive and sole remedy shall be, at Macrina's election, replacement of goods upon their return to Macrina or credit for the cost of such goods to Company's account. In the event of any dispute between the parties, Macrina's liability shall be limited to the amounts paid by Company to Macrina for the preceding six (6) months, and in no event shall Macrina be liable to Company for any consequential loss or lost profits, even if Macrina has been advised of the possibility of such damages.
6. Modifications
No additions or modification of these terms in applicant's purchase orders or related documents shall be effective to vary these terms and conditions except with the written acceptance of Macrina.
7. Definition
As used herein, "Macrina" refers to Mac & Co. and its affiliates, successors, and assigns.
